1. Introduction and Acceptance of Terms

Welcome to Livefeed. These Terms of Service ("Terms") govern your access to and use of the Livefeed live audio streaming service ("Service"), operated by Livefeed Limited ("Livefeed", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

Definitions

  • "Service" - The Livefeed web application and associated streaming infrastructure
  • "User" or "you" - Any person accessing or using the Service
  • "Content" - Audio streams, commentary, and related materials delivered through the Service
  • "Partner" - Sporting venues, competitions, organizations, or sponsors providing or funding the Service
  • "Geofence" - A virtual geographic boundary that restricts access to Content

2. Description of Service

Livefeed provides real-time, ultra-low latency audio streaming for fans attending live sporting and entertainment events. The Service delivers:

  • Broadcast-quality audio - Multiple audio channels including referee microphones, commentary, and broadcast mixes
  • Real-time streaming - Typical performance under uncongested mobile networks
  • No-download access - Web-based application requiring no app installation
  • Flexible access control - Location-based verification when required by partners, or open access when permitted

Service Availability

  • Access requirements are determined by our Partners and may vary by event, venue, and location
  • Most events require users to be physically present at the venue (geofenced), while some allow open access
  • We do not guarantee uninterrupted or error-free operation of the Service

Free to Fans

The Service is free for end users. You will not be charged for accessing or using Livefeed. The Service is funded through partnerships with sporting organizations, venues, and sponsors.

3. Eligibility and Account Requirements

Age Requirement

You must be at least 13 years of age to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

Location Requirement (When Applicable)

Access requirements vary by partner and event:

  • Geofenced events: Events typically require you to be physically located within the designated geofence area. For these events, you agree to allow the Service to access your device's location information for verification purposes.
  • Open access events: Some partners allow unrestricted access without location requirements.

No Account Required

The Service does not require account creation or registration. Access is granted based on partner requirements, which may include location verification for some events.

4. Grant of License

Subject to your compliance with these Terms, Livefeed grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal, non-commercial purposes
  • Listen to audio Content while at participating events
  • Use the Service on compatible devices

Restrictions

You may not:

  • Record, download, or capture any Content from the Service
  • Redistribute, broadcast, or publicly perform any Content
  • Use the Service for commercial purposes without express written permission
  • Attempt to circumvent access controls or geofence restrictions (when enabled)
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Interfere with or disrupt the Service or its servers
  • Use the Service in violation of any applicable laws or regulations

5. User Responsibilities

You agree to:

  • Provide accurate location information when requested (for geofenced events)
  • Comply with access requirements set by partners (venue presence when required)
  • Respect intellectual property rights in all Content
  • Use headphones or keep volume at reasonable levels to avoid disturbing others
  • Comply with venue rules and regulations
  • Report any technical issues or security vulnerabilities to Livefeed

You are responsible for:

  • Your device and internet connection
  • Any data charges incurred while using the Service
  • Ensuring your device meets minimum technical requirements

6. Intellectual Property Rights

Ownership

All Content delivered through the Service, including audio streams, commentary, and related materials, is owned by our Partners, licensors, or content providers. The Livefeed platform, including all software, design, and technology, is owned by Livefeed Limited.

Copyright and Trademarks

All trademarks, service marks, logos, and trade names displayed on the Service are the property of their respective owners. You may not use any such marks without express written permission.

Content Restrictions

The Content is licensed for personal, non-commercial use only. You acknowledge that:

  • You acquire no ownership rights in any Content
  • Recording or redistribution of Content is strictly prohibited
  • Unauthorized use may violate copyright, trademark, or other laws

7. Privacy and Data Collection

Your use of the Service is subject to our Privacy Policy, which explains:

  • What information we collect (device data, usage analytics, and location data when geofencing is enabled)
  • How we use that information (access verification when required, service improvement)
  • Your rights under privacy laws

We collect minimal, anonymized data and do not require personal information to use the Service. Location data is only collected for geofenced events. Please review our Privacy Policy at livefeed.fm/privacy.

8. Access Control and Geofencing

Partner-Determined Access

Access requirements are determined by our Partners on a per-event basis:

For Geofenced Events:

  • Access to Content is restricted to users within designated geofence areas
  • You must grant location permissions to use the Service
  • We use your GPS coordinates to verify you are within the venue boundaries during the event

For Open Access Events:

  • No location verification is required
  • Content is available without geographic restrictions
  • Some partners have chosen to allow unrestricted access

Access Denial

We reserve the right to deny or revoke access if:

  • For geofenced events: you are outside the geofence area or location verification fails
  • You attempt to circumvent access controls
  • You violate these Terms
  • Partners change access requirements for specific events

9. Service Modifications and Availability

Changes to the Service

We may, at our discretion:

  • Modify, suspend, or discontinue any aspect of the Service
  • Change available audio channels or Content
  • Update technical requirements or supported devices
  • Improve or alter features and functionality

We will make reasonable efforts to notify users of significant changes, but are not obligated to do so.

No Guarantee of Availability

We do not guarantee that the Service will:

  • Be available at all times or locations
  • Be free from interruptions, delays, or errors
  • Work on all devices or network connections
  • Include specific Content or audio channels

Factors beyond our control (network congestion, venue infrastructure, broadcaster issues) may affect Service quality.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability - Fitness for a particular purpose
  • Non-infringement - Absence of viruses or harmful components
  • Accuracy - Completeness or reliability of Content
  • Uninterrupted access - Error-free operation

We do not warrant that:

  • The Service will meet your specific requirements
  • Audio quality will always meet expectations
  • All errors or defects will be corrected
  • The Service will be compatible with your device

Jurisdictional Variations

Some jurisdictions do not allow disclaimers of implied warranties. In such cases, these disclaimers may not apply to you, and you may have additional rights under consumer protection laws.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVEFEED SHALL NOT BE LIABLE FOR:

Direct Damages

  • Loss of data or Content access
  • Service interruptions or unavailability
  • Technical errors or audio quality issues
  • Device compatibility problems

Indirect Damages

  • Lost profits or revenue
  • Loss of business or opportunities
  • Reputational harm
  • Consequential, incidental, or punitive damages

Liability Cap

In jurisdictions that do not allow complete limitation of liability, our total liability to you for all claims related to the Service shall not exceed NZD $100.

Consumer Rights

Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 (New Zealand), Australian Consumer Law, or other mandatory consumer protection laws.

12. Indemnification

You agree to indemnify, defend, and hold harmless Livefeed, our Partners, affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Unauthorized recording or redistribution of Content
  • Fraudulent or illegal activities while using the Service

13. Third-Party Content and Services

Partner Content

The audio Content is provided by our Partners (sporting organizations, broadcasters, venues). We are not responsible for:

  • The accuracy, quality, or availability of Partner Content
  • Offensive, inappropriate, or inaccurate commentary
  • Broadcast delays or technical issues originating with Partners

Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of service of any third parties.

14. Termination

By You

You may stop using the Service at any time by simply closing the application. For geofenced events, you may also deny location permissions to stop using the Service.

By Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Attempts to circumvent access controls
  • Actions that harm or disrupt the Service
  • Any reason at our sole discretion

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitations of liability) will remain in effect.

15. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of New Zealand. For users in Australia, the laws of the state or territory where you reside may also apply.

Jurisdiction

You agree that any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Auckland, New Zealand.

Informal Resolution

Before initiating formal proceedings, you agree to contact us at contact@livefeed.co.nz to attempt to resolve the dispute informally.

Consumer Rights

Nothing in this section limits your rights to pursue claims in your local consumer protection tribunal or small claims court.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Livefeed regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to any successor entity without restriction.

Force Majeure

We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • Network or telecommunications failures
  • Government actions or regulations
  • Venue infrastructure issues
  • Broadcaster or Partner technical problems

Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

17. Changes to These Terms

We may update these Terms from time to time to reflect:

  • Changes in our Service or business practices
  • Legal or regulatory requirements
  • Security or technical improvements

Notification

We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Displaying a notice on the Service (where practical)

Acceptance

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
